Please read these Terms of Service (“Terms”) carefully before using the Updated Today website and services located at updated.today (the “Service”). These Terms constitute a legally binding agreement between you (“you,” “your,” or “User”) and Updated Today (“we,” “us,” “our,” or “Updated Today”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Updated Today is an AI-powered personalized news podcast platform. Users describe their interests, and the Service generates a daily audio briefing using artificial intelligence technologies, including automated news retrieval, AI-driven summarization, and text-to-speech narration. The Service is provided on a paid subscription basis.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration and Security

To use the Service, you must create an account by providing a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account information.

4. Subscription and Payment

4.1 Paid Service

Access to the Service requires an active paid subscription. Subscription fees, billing cycles, and plan details are presented at the time of purchase.

4.2 Payment Processing

Payments are processed through Stripe, a third-party payment processor. By subscribing, you agree to Stripe's terms of service and privacy policy. We do not store your full payment card information on our servers.

4.3 Recurring Billing

Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You authorize us to charge your payment method on file for all recurring subscription fees.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by applicable law.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. You will be notified of any price changes at least 30 days in advance. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. AI-Generated Content Disclaimer

5.1 Nature of Content

All content delivered through the Service, including news summaries, audio briefings, headlines, and editorial commentary, is generated entirely by artificial intelligence systems. This content is produced through automated processes that retrieve, summarize, and narrate news information using third-party AI models and data sources.

5.2 No Guarantee of Accuracy

We make no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, timeliness, or correctness of any content generated by the Service. AI-generated content may contain errors, inaccuracies, omissions, outdated information, misinterpretations, fabricated details (“hallucinations”), or misleading statements. You acknowledge that AI systems can and do produce incorrect or misleading content, and such occurrences are an inherent and unavoidable characteristic of current AI technology.

5.3 Not a Substitute for Professional Advice

The content provided by the Service is for general informational and entertainment purposes only. It does not constitute and shall not be construed as professional advice of any kind, including but not limited to legal, financial, investment, medical, tax, or political advice. You should independently verify any information obtained through the Service before making decisions or taking actions based on it.

5.4 No Editorial Oversight

The Service does not employ human editors, journalists, or fact-checkers to review AI-generated content before delivery. While we make reasonable efforts to configure our AI systems to produce helpful content, we do not manually verify, curate, or endorse any specific content produced by the Service.

5.5 Third-Party Sources

The Service retrieves information from third-party news sources and data providers. We do not control, endorse, or guarantee the accuracy of these third-party sources. The inclusion of any information from a third-party source does not imply our endorsement or verification of that information.

5.6 User Responsibility

You are solely responsible for how you use, interpret, act upon, or share any content generated by the Service. You agree not to rely on AI-generated content as your sole or primary source of information for any decision that could have material consequences for you or others.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

6.1 No Liability for AI Content

UPDATED TODAY, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, CLAIMS, OR COSTS ARISING FROM OR RELATED TO:

• Any inaccuracy, error, omission, or misleading statement in AI-generated content;
• Any decision made or action taken by you or any third party based on content provided by the Service;
• Any reliance on the content provided by the Service;
• Any misinformation, disinformation, or fabricated content (“hallucinations”) produced by the AI systems;
• Any emotional distress, reputational harm, or other non-economic injury arising from AI-generated content;
• Any failure of the AI systems to detect, correct, or flag inaccurate or harmful content.

6.2 General Limitation

IN NO EVENT SHALL UPDATED TODAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 Aggregate Cap

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

6.4 Basis of the Bargain

You acknowledge that the limitations of liability set forth in this Section are a fundamental element of the agreement between you and Updated Today, and the Service would not be provided to you without such limitations.

7. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT PROVIDED THROUGH THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT;
• ANY WARRANTY THAT DEFECTS WILL BE CORRECTED;
• ANY WARRANTY REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Updated Today, its owners, officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or any content generated by the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Any claim that your use of the Service or content generated by the Service caused damage to a third party;
• Any content, data, or information you submit to the Service;
• Your redistribution, republication, or sharing of AI-generated content from the Service.

9. Assumption of Risk

By using the Service, you expressly acknowledge and assume the following risks:

• AI-generated content may be inaccurate, incomplete, misleading, or entirely fabricated;
• The Service may fail to report on important news events or may report on events inaccurately;
• AI systems may exhibit bias, produce offensive content, or fail to represent diverse perspectives;
• Technical failures may result in unavailability of the Service or loss of data;
• Third-party services that the Service relies upon may change, degrade, or become unavailable.

You voluntarily assume all risks associated with the use of the Service, whether known or unknown.

10. Intellectual Property

10.1 Service Ownership

The Service, including its design, software, branding, and all underlying technology, is owned by Updated Today and is protected by applicable intellectual property laws.

10.2 AI-Generated Content

AI-generated content delivered through the Service is provided for your personal, non-commercial use. You may not reproduce, redistribute, publish, broadcast, or commercially exploit AI-generated content from the Service without our prior written consent. You acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions and that intellectual property rights in AI-generated works remain an evolving area of law.

10.3 Third-Party Content

News information summarized by the Service originates from third-party sources. All rights in the original source materials belong to their respective owners. The Service provides AI-generated summaries and does not claim ownership of underlying third-party content.

11. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems;
• Interfere with or disrupt the Service or servers or networks connected to the Service;
• Use the Service to generate, distribute, or amplify misinformation, disinformation, or propaganda;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
• Use automated tools, bots, or scripts to access the Service beyond normal use;
• Resell, sublicense, or commercially redistribute the Service or its content;
• Circumvent any rate limits, access restrictions, or technical measures implemented by the Service.

12. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to OpenAI, Perplexity, Supabase, and Stripe. We are not responsible for the availability, accuracy, or performance of any third-party service. Your use of third-party services is subject to their respective terms and policies. We are not liable for any damages arising from the acts or omissions of any third-party service provider.

13. Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. We process personal data including your email address, preference information, and usage data. Audio content generated for your account is stored on third-party servers.

14. Service Availability and Modifications

14.1 No Uptime Guarantee

The Service is provided on an “as available” basis. We do not guarantee that the Service will be available at all times or at any particular time. The Service may experience downtime, outages, interruptions, or degraded performance at any point, for any reason, including but not limited to scheduled maintenance, unscheduled maintenance, technical failures, infrastructure issues, third-party service disruptions, natural disasters, cyberattacks, or any other cause. We are under no obligation to provide advance notice of any downtime or outage.

14.2 No Liability for Downtime

Updated Today shall not be liable for any damages, losses, or inconvenience arising from any downtime, outage, interruption, or unavailability of the Service, regardless of duration or cause. This includes, without limitation, any missed daily briefings, lost access to previously generated content, or inability to access your account.

14.3 Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

15. Termination

15.1 By You

You may terminate your account at any time by canceling your subscription and ceasing to use the Service.

15.2 By Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, non-payment, or conduct that we determine to be harmful to the Service or other users.

15.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections 5 through 10 and any other provisions that by their nature should survive termination shall survive.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before filing any formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

16.3 Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding.

16.4 Class Action Waiver

YOU AND UPDATED TODAY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

16.5 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

17. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Service. Your continued use of the Service after such notification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

19. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and Updated Today regarding the Service and supersede all prior agreements and understandings.

20. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Updated Today.
